SEBI LODR 2015: The Corporate Transparency Framework

The SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (LODR) consolidated and replaced earlier listing agreements signed between companies and stock exchanges. These regulations mandate extensive ongoing disclosures by all listed companies to ensure that investors have timely, accurate, and material information to make informed decisions.

Key Disclosure Requirements Under LODR

Quarterly Financial Results: Must be published within 45 days of the quarter end (60 days for annual results). Material Events: Any event that is material — including board meeting outcomes, mergers, demergers, regulatory actions, fraud, or key managerial changes — must be disclosed within 24 hours. Insider Trading: Promoter and insider shareholding disclosures on a quarterly basis. Annual Report: Comprehensive annual report including audited accounts, corporate governance report, and management discussion must be published within 60 days of financial year end.

Corporate Governance Norms

LODR mandates robust corporate governance: at least one-third independent directors, a mandatory audit committee, stakeholder relationship committee, nomination & remuneration committee, and risk management committee for top-listed companies. The board must include at least one woman independent director.
